Terms & Conditions for working with Qaribuhub

These Terms & Conditions (“Terms”) govern your use of the Qaribuhub Solutions LTD website (www.qaribuhub.co.ke) and any services we provide to you. By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
1. Definitions
- “Company”, “we”, “us”: Qaribuhub Solutions LTD, registered in Kenya, Ring Road, Westlands, Nairobi.
- “Client”, “you”: any individual or entity that engages our services or uses our website.
- “Services”: software development, web design, mobile app development, AI solutions, payment integration, DUNS application assistance, maintenance and any related services.
- “Project Agreement”: the signed proposal, statement of work or contract agreed for a specific engagement.
2. Services
All service engagements are governed by a written Project Agreement issued by us and accepted by you. The Project Agreement defines scope, deliverables, timeline, price and payment schedule. In the event of a conflict between these Terms and the Project Agreement, the Project Agreement prevails.
3. Payment Terms
- Our standard payment schedule is 50% deposit before work begins, 25% at a defined mid-point milestone and 25% on project completion.
- Invoices are due within 7 days of issue unless otherwise stated in the Project Agreement.
- We reserve the right to pause or suspend work if a payment milestone is more than 14 days overdue.
- All prices are in Kenyan Shillings (KES) unless otherwise stated. Prices are exclusive of applicable taxes.
- We accept M-Pesa, bank transfer and card payment.
4. Intellectual Property
- Upon receipt of full and final payment, all custom-created deliverables — code, designs, content — transfer to the Client as set out in the Project Agreement.
- We retain the right to use project work in our portfolio unless the Client requests confidentiality in writing before the project begins.
- Any third-party components (open-source libraries, stock assets, licensed fonts) are subject to their respective licence terms, which we will disclose in the project handover.
- Pre-existing intellectual property of either party is not transferred by these Terms.
5. Client Responsibilities
- Provide accurate and complete information required for the project.
- Respond to review requests and approvals within the agreed timeframes.
- Ensure all content and materials supplied to us do not infringe third-party intellectual property.
- Obtain any required regulatory approvals (e.g., Safaricom Daraja approval, CBK licensing) in good time.
Delays caused by late Client responses may affect delivery timelines and may attract additional charges.
6. DUNS Number Application Assistance — Important Disclaimer
Qaribuhub Solutions LTD is not affiliated with, endorsed by, or acting on behalf of Dun & Bradstreet. We do not issue, sell, assign or guarantee D-U-N-S Numbers. D-U-N-S Numbers are issued solely by Dun & Bradstreet, free of charge, at their sole discretion and subject to their own verification process.
Our DUNS Number Application Assistance service consists of paid administrative guidance — helping you organise your documents and navigate the application process. We make no representation or warranty that an application we assist with will be approved, that a D-U-N-S Number will be issued, or that processing will meet any particular timeline. No refund will be issued solely because Dun & Bradstreet declines, delays or modifies an application.
7. Warranties & Limitation of Liability
- We warrant that our services will be performed with reasonable skill and care.
- We do not warrant that software will be entirely error-free. Bug fixes reported within the warranty period (typically 30 days from handover) are remedied at no charge.
- To the fullest extent permitted by Kenyan law, our total liability to you for any claim arising from a project shall not exceed the total fees paid by you for that project in the 12 months preceding the claim.
- We are not liable for any indirect, consequential, special or punitive losses including loss of profits, loss of data, loss of business or reputational damage.
8. Confidentiality
Both parties agree to keep confidential any sensitive business information disclosed during an engagement. This obligation survives termination of the project. We will not disclose your systems, code or business data to third parties except as required by law or with your written consent.
9. Termination
- Either party may terminate a project with 14 days’ written notice.
- On termination, the Client shall pay for all work completed to the termination date. The deposit is non-refundable once work has commenced.
- We may terminate immediately for non-payment, material breach, or if the Client requests work that is unlawful, fraudulent or harmful.
10. Website Use
You may use this website for lawful purposes only. You must not attempt to gain unauthorised access to any part of our systems, transmit malicious code, or engage in any activity that disrupts the site. We reserve the right to restrict access to anyone who violates these Terms.
11. Third-party Links
Our website may contain links to third-party sites. We are not responsible for the content, privacy practices or reliability of those sites.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes shall be subject to the jurisdiction of the Kenyan courts. We will always attempt to resolve disputes amicably before initiating formal proceedings.
13. Changes to These Terms
We may revise these Terms at any time. The current version is always available on this page. Continued use of our website or services after a change constitutes acceptance of the updated Terms.
